Terms of Service
Effective date: January 1, 2025
Please read these Terms carefully before using DokaWork. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. About DokaWork
DokaWork Inc. ("DokaWork", "we", "our", or "us") operates a platform that connects freelancers and clients, facilitating the creation of contracts, milestone-based deliverable management, and escrow payment processing.
2. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use DokaWork. By registering, you represent and warrant that you meet these requirements.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate and complete information when registering and to keep it up to date.
- You are responsible for all activity that occurs under your account.
- DokaWork reserves the right to suspend or terminate accounts that violate these Terms.
4. Platform Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law.
- Post false, misleading, or fraudulent content.
- Circumvent, disable, or interfere with security features of the platform.
- Attempt to access another user's account without authorization.
- Transmit any malicious code, viruses, or disruptive content.
5. Deals, Milestones, and Contracts
DokaWork facilitates the creation of service agreements ("Deals") between freelancers and clients. Each Deal may be broken into one or more milestones. By signing a Deal on the platform, both parties agree to its terms.
DokaWork is not a party to any Deal or contract between users and is not responsible for the quality, safety, or legality of services exchanged.
6. Escrow and Payments
- Clients fund milestones in advance. Funds are held in escrow until the milestone is approved or automatically released.
- Once a milestone is approved or the auto-release period lapses with no action, funds are transferred to the freelancer's connected payout account.
- All payments are processed via Stripe. By using our payment features, you agree to Stripe's Terms of Service.
- DokaWork charges a platform fee on each completed transaction. The current fee schedule is available in your account settings.
- All fees are non-refundable except as required by applicable law or as outlined in our Dispute Policy.
7. Disputes
If a freelancer and client cannot resolve a dispute independently, either party may open a formal dispute through the platform. DokaWork will review evidence submitted by both parties and issue a non-binding recommendation. Final determination of fund release rests with DokaWork in its sole discretion during the dispute period.
8. Intellectual Property
Upon full payment of a milestone, any deliverables produced under that milestone are transferred to the client, unless the parties have agreed otherwise in their Deal terms. DokaWork does not claim ownership of any user-generated content or deliverables.
The DokaWork name, logo, and platform design are the intellectual property of DokaWork Inc. and may not be used without written permission.
9. Privacy
Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DOKAWORK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOKAWORK AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DOKAWORK'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DOKAWORK IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
13. Changes to These Terms
DokaWork may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
